1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Privé Padel website at prive-padel.com (the "Site") and any associated services, including the Privé Passport membership programme, operated by Privé Hospitality Corp, a Florida corporation ("Privé Padel," "we," "us," or "our").

By using the Site, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract. If you do not agree to these Terms, please do not use the Site.

2. Use of the Site

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the Site to transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of the Site, its servers, or any connected systems.
• Reproduce, duplicate, copy, or resell any part of the Site in contravention of these Terms.
• Use automated tools, bots, or scrapers to access or collect content from the Site without our prior written consent.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

3. Privé Passport Membership

The Privé Passport is a membership programme that provides access to preferred rates, benefits, and experiences at participating partner properties and Privé-operated clubs.

• Eligibility: Membership is subject to application approval at our sole discretion. We reserve the right to decline any application without giving a reason.
• Fees: Membership fees are stated at the time of application and are subject to change. Fees are non-refundable except where required by applicable law.
• Benefits: Partner hotel benefits, preferred rates, and resort credits are subject to availability, seasonal restrictions, and the terms of individual partner properties. We do not guarantee availability at any specific property.
• Renewal: Annual memberships renew automatically unless cancelled at least 30 days before the renewal date. You will be notified by email prior to any automatic renewal.
• Cancellation: You may cancel your membership at any time. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for unused membership periods.
• Termination: We reserve the right to suspend or terminate a membership at any time if we determine that a member has breached these Terms or engaged in conduct detrimental to Privé Padel or its partners.

4. Partner Properties

The hotels, resorts, and clubs listed in the Privé Padel Travel Collection are independent third-party businesses. Privé Padel acts as an introducer of preferred benefits and does not operate, manage, or take responsibility for the accommodation, facilities, or services of any partner property.

All bookings with partner properties are governed by the terms and conditions of those properties. Disputes regarding stays or services at partner properties should be directed to the property concerned.

5. Intellectual Property

All content on this Site — including text, photography, logos, graphics, and design — is owned by or licensed to Privé Hospitality Corp and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our prior written permission.

The Privé Padel name, logo, and "Privé Passport" mark are trademarks of Privé Hospitality Corp. Nothing on this Site grants any licence to use our trademarks.

6. Disclaimer of Warranties

The Site and all content and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. We make no representations about the accuracy or completeness of any content on the Site.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Privé Hospitality Corp and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Site or the Privé Passport membership — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the membership fees paid by you in the twelve months preceding the claim.

8. Links to Third-Party Sites

This Site may contain links to third-party websites, including partner property websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida. You consent to personal jurisdiction in those courts.

10. Changes to These Terms

We may revise these Terms at any time by updating this page. The "last updated" date at the top will reflect when changes were last made. By continuing to use the Site after changes are posted, you accept the revised Terms. We encourage you to review this page periodically.
